Music Licensing Agreement

 

PRODUCER AGREEMENT

This Producer Agreement (“Agreement”) is made as of [                      ], by and between:

1. PURPOSE

Producer agrees to compose, produce, and deliver  original instrumental tracks (“Works”) for use in musical synchronization in (the “Project”).

2. DELIVERY

Producer shall deliver final mixed and mastered versions of the Works in high-resolution audio format (e.g., WAV 44.1kHz/24bit) no later than [Delivery Date], unless otherwise agreed in writing. Producer shall also send all stems for mixing purposes of the show. 

3. RIGHTS

1. Grant of Rights: Producer grants Client a non-exclusive, perpetual license to use the Works in connection with The Shawn Ryan Show and related promotional material.

2. Ownership: Producer retains ownership of the master recordings and compositions. Client may not resell or distribute the Works separately from the Project.

3. Fee: Client shall pay Producer a total fee of $400.00 for the license. Payment due [upon delivery / within 30 days of invoice].

4. Credit: Producer reserves the rights to claim credit of composition Works on public channels and social media. 

4. REPRESENTATIONS AND WARRANTIES

Producer warrants that the Works are original and free from third-party claims. Client warrants authority to enter into this Agreement.

5. INDEPENDENT CONTRACTOR

Producer is an independent contractor and not an employee or partner of Client. Producer is responsible for taxes related to payments received.

6. INDEMNIFICATION

Each Party agrees to indemnify and hold the other harmless from claims or damages arising out of any breach of this Agreement.

7. GOVERNING LAW

This Agreement shall be governed by the laws of the State of Tennessee.

8. ENTIRE AGREEMENT

This document contains the full understanding between the Parties. Any changes must be in writing and signed by both Parties.
