1. Overview
By purchasing or downloading a song license from this website, you (“Licensee”) agree to these Terms and Conditions. These terms govern the use of all original songs, instrumentals, and sound recordings (“Music”) available for licensing from the Licensor. Effective Date: Today's Date at checkout.
2. License Grant
When you purchase a license, you are granted a non-exclusive, non-transferable perpetual right to use the Music according to the license type you select.
Unless otherwise stated, you may use the Music in the following ways:
In videos, podcasts, films, or online content.
In live performances, advertisements, or social media.
You may not resell, redistribute, or claim ownership of the Music.
3. Ownership
All Music remains the sole property of the Licensor. Purchasing a license does not transfer ownership, copyright, or authorship.
4. Prohibited Uses
Licensee may not:
Use the Music in defamatory, hateful, or illegal content.
Remix, alter, or sample the Music without written permission.
Register the Music with any content ID system or claim royalties from platforms (e.g., YouTube, Spotify).
5. Payment and Delivery
All payments are due at checkout. Upon successful payment, Licensee will receive a download link and proof of license. All sales are final and non-refundable.
6. Attribution
Licensor possess the right to post and list credit to website and socials.
7. Liability
Licensor is not liable for any damages, losses, or legal claims resulting from the use of the Music. Licensee is solely responsible for ensuring their use complies with all applicable laws.
8. Termination
If Licensee violates these terms, the license will be terminated immediately, and all rights to use the Music will be revoked.
9. Governing Law
This agreement is governed by and interpreted under the laws of the State of Tennessee, USA.

After your payment is successfully processed, you will receive an instant download link to access your purchased files.

3. File Access and Backups
You are responsible for downloading and backing up your purchased files. We cannot guarantee indefinite hosting or re-download availability after your initial purchase.

Music Licensing Agreement
This Music LicensingAgreement (“Agreement”) is made as of today's date at time of purchase by and between:

“Licensor” "Producer"
And the client “Purchaser” or "Licensee"
1. PURPOSE
Licensor agrees to compose, produce, and deliver original instrumental tracks (“Works”) for use in musical synchronization in (the “Project”).
2. DELIVERY
Producer shall deliver final mixed and mastered versions of the Works in high-resolution audio format (e.g., WAV 44.1kHz/24bit) no later than [Delivery Date], unless otherwise agreed in writing. Producer shall also send all stems for mixing purposes of the project upon request. Submit request to achesling@gmail.com
3. RIGHTS
1. Grant of Rights: Producer grants Client a non-exclusive, perpetual license to use the Works in connection with The Shawn Ryan Show and related promotional material.
2. Ownership: Producer retains ownership of the master recordings and compositions. Client may not resell or distribute the Works separately from the Project.
3. Fee: Client shall pay Producer a total fee of $400.00 for the license. Payment due [upon delivery / within 30 days of invoice].
4. Credit: Producer reserves the rights to claim credit of composition Works on public channels and social media.
4. REPRESENTATIONS AND WARRANTIES
Producer warrants that the Works are original and free from third-party claims. Client warrants authority to enter into this Agreement.
5. INDEPENDENT CONTRACTOR
Producer is an independent contractor and not an employee or partner of Client. Producer is responsible for taxes related to payments received.
6. INDEMNIFICATION
Each Party agrees to indemnify and hold the other harmless from claims or damages arising out of any breach of this Agreement.
7. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Tennessee.
8. ENTIRE AGREEMENT
This document contains the full understanding between the Parties. Any changes must be in writing and signed by both Parties.
